These general terms and conditions apply to all offers and quotes made by and agreements reached with WILDDOGS (and / or changes or additions thereto). Terms and conditions of the client are not applicable, unless otherwise agreed to in writing by WILDDOGS. If any provision of these general terms and conditions proves to be void for whatever reason, this does not affect the validity of the other provisions.
- Offers and quotes
All offers and quotes are without commitment unless stated otherwise. A binding offer is only valid for the period as stated therein.
Agreement between WILDDOGS and the client contain:
- Name of the client;
- What training will be done, the duration of the training and for what maximum number of participants;
- Dates on which training(s) will be delivered;
- Venue at which the training(s) will be delivered. Unless otherwise stated the venue will be provided by and / or be paid for by the client;
- Cost and payment terms;
- Reference to these general terms and conditions.
WILDDOGS is only bound to any agreement if and when WILDDOGS and the client have both explicitly confirmed their acceptance in writing (which includes acceptance by way of e-mail or any other digital form of written communication). Thus acceptance of any WILDDOGS offer / quote by the client only leads to an agreement upon further confirmation by WILDDOGS.
- Number of participants
The number of participants as specified in the offer / quote / agreement cannot be exceeded, due to the nature of the training.
- Cancellation and rearrangement by client
If the client wishes to cancel the agreed upon training the following costs will be charged:
- Cancelled outside 8 weeks of training commencement: 50 % of total training costs;
- Cancelled outside 2 weeks of training commencement: 75 % of total training costs;
- Cancelled within 2 weeks of training commencement: 100 % of total training costs.
If the client wishes to change the agreed upon date(s) the following costs will be charged:
- Changed outside 8 weeks of training commencement: 25 % of total training costs*
- Changed within 8 weeks of training commencement: 40 % of total training costs*
(* the full amounts will then still be charged for the training(s) as it / they take(s) place)
If the client wishes to stop a training, that has already started, the total training costs will be charged.
- Invoicing and payment
Invoicing will take place at the time and prices as agreed upon in the agreement. The amounts as referred to in the offer / quote / agreement are excluding of VAT (BTW) and travel and communication costs.
All bills are due to be paid within 14 days. If the client fails to make payment on the due date, the client will be legally in default and will be charged statutory commercial interest as well as legal collection costs.
- Force majeure and rearrangement by WILDDOGS
If WILDDOGS is unable to deliver a training on the agreed upon date as a result of force majeure, or if WILDDOGS wishes to change the agreed upon date for a training for reasons of it’s own, then WILDDOGS will endeavor at all times to give the client as much advance notice as possible of any change. If the training cannot be rearranged to the satisfaction of the client and as a result of that cannot be delivered, WILDDOGS will then charge no costs to the client or provide a full refund of the amount, paid in advance by the client.
The total liability of WILDDOGS for loss or damages, caused by and related to the training(s) as agreed upon / delivered, shall not exceed the costs as agreed upon by WILDDOGS and the client concerning said training(s). WILDDOGS shall in no event be responsible for indirect, special, consequential, exemplary or incidental losses or damages or for any lost profits, revenues, contracts or anticipated savings arising out of / related to the agreed upon training(s).
- Disputes and applicable law
Dutch law is exclusively applicable to all offers / quotes / agreements referred to by these general terms and conditions.
Disputes that cannot be solved amicably by WILDDOGS and the client will be subject to the exclusive jurisdiction of the competent court with regards to the place of business of WILDDOGS.
